Liverpool investor gets option to buy controlling stake

1892 Holdings, the consortium that recently acquired a minority stake in Liverpool Football Club, has secured an option to purchase a controlling interest within the next 12 months should Fenway Sports Group (FSG) decide to sell. The agreement, confirmed by multiple sources, grants the new investors first refusal on any future sale by the club's current majority owners.

The deal, announced on Friday, was initially reported to involve a purchase of between 30% and one-third of the club. However, the final agreement covers 38% of Liverpool, with 1892 Holdings paying FSG just over £2bn for the stake. This transaction values the Anfield club at approximately £5.5bn, a figure that underscores the club's substantial commercial growth in recent years.

Background of the Investment

FSG, which acquired Liverpool for £300m in 2010, has emphasized that the deal with 1892 Holdings is not part of an exit strategy. The American group insists it was not compelled to sell a portion of the club and retains operational control. Nevertheless, the option agreement introduces the possibility of a significant ownership transition in the near future.

The consortium is led by Amit Bhatia, who has received financial backing from the Mittal Family Trust. Bhatia's father-in-law, Lakshmi Mittal, is an Indian steel magnate and billionaire. The consortium also includes Amazon founder Jeff Bezos, who is considered a passive investor at this stage, having invested through the K5 Sports fund, where he serves as lead investor. Eduardo Saverin, co-founder of Facebook, is another prominent member, with an estimated net worth of $33bn.

Potential Impact on Ownership

Should FSG decide to sell or reduce its shareholding within the next 12 months, 1892 Holdings has the option to buy a controlling stake. FSG has stressed that this is an option, not a formal commitment, and that the group remains in day-to-day operational control. However, the arrangement raises the prospect of Bezos, Bhatia, and Saverin replacing FSG as majority shareholders.

The expanded Liverpool board will include Bryan Baum, co-founder and managing partner of K5 Global, alongside Bhatia as vice-chair and Elaine Saverin, Eduardo's wife. The Mittal family, with a combined wealth of around $17bn, adds further financial muscle to the consortium.

Future Outlook

The option agreement provides 1892 Holdings with a clear path to majority ownership, contingent on FSG's willingness to sell. For now, FSG remains in control, but the next 12 months could see a historic shift in Liverpool's ownership structure. The club's valuation of £5.5bn reflects its global brand and on-field success, making it an attractive asset for investors. The coming year will reveal whether FSG exercises its right to retain control or opts to capitalize on its investment.
